Terms of Service
Last updated: November 3, 2026
1. Who you are dealing with
These terms cover website design, redesign and improvement work by John-paul Darby, a sole proprietor operating as OAK Digital Group, Innisfil, Ontario, Canada ("we" or "us").
- Contact: [email protected]
2. Business customers only
Our services are only for businesses, commercial websites and professional organizations. We do not take on personal or household projects. By requesting a teardown, accepting a quote or paying an invoice, you confirm that you are acting for business or professional purposes, and that you have authority to accept these terms for the business or organization you represent.
3. Services
- Free 3-Point Website Teardown: a plain-language review of the three most important things holding your site back, and what to fix first. It is a review, not a redesign. No obligation.
- Website Tune-Up, $199 CAD: improvements to up to 3 existing pages, with one round of revisions.
- Growth Upgrade, $399 CAD: a deeper improvement of up to 3 existing pages, with two rounds of revisions. New pages are not included and are quoted separately.
- Website Transformation/Rebuild: Quoted. It is scoped and quoted after your teardown and a short call.
The exact work for each job is what is listed in the written quote or scope email you accept. Anything not listed there is not included.
4. Prices, taxes and payment
- Prices are in Canadian dollars. As a small supplier under GST/HST rules, we do not currently charge HST. If that changes, any tax will be shown as a separate line before you pay.
- For the Tune-Up and Growth Upgrade, payment is due before work starts.
- For a Website Transformation/Rebuild, we invoice a 50% deposit before work starts and the remaining 50% before launch.
- Payment method: Interac e-Transfer. Interac e-Transfer details are provided on your invoice. Card payment through Square is not available yet; when it is, your invoice will include a Square payment link.
- We send an invoice showing the scope, price and due date.
5. Accepting these terms
Paid work begins only after you accept these terms in writing, either by replying to accept the written quote that references them or by paying the invoice that references them. The quote or invoice, together with these terms, is our agreement.
6. What we need from you
- Access to your website, such as a temporary login.
- Any text, photos or logos you want used.
- Timely answers to our questions.
Delays in getting these can delay the timeline.
7. Timeline
Target turnaround, counted from when we have both your payment and access to your site: Website Tune-Up, 3 to 5 business days; Growth Upgrade, 7 to 10 business days. Rebuild timelines are set in the quote. Timelines are estimates, not guarantees.
8. Revisions
- The Website Tune-Up includes one round of revisions and the Growth Upgrade includes two. Rebuild revisions are set in the quote.
- Revisions must stay within the original scope. New pages or a change in strategy are change requests and are quoted separately.
- We confirm your approval in writing before final launch.
9. Cancellations and refunds
- If you cancel before work starts, you get a full refund.
- If you cancel after work starts, we refund the part of what you paid that covers work not yet done. We tell you in writing how we worked it out.
- We will fix anything that does not match the agreed scope.
10. No guaranteed results
We aim to make your website clearer, faster and easier for customers to act on. We do not guarantee rankings, traffic, leads or sales.
11. Exclusions
Unless quoted separately, packages do not include:
- hosting migration
- paid advertising management
- large ecommerce, booking or custom application development
- advanced accessibility remediation
- unlimited revisions
12. Ownership
- Once you have paid in full, you own your content, your domain and the finished changes.
- You confirm that any material you give us is yours to use.
- We show your project in our portfolio only with your written permission.
13. Third-party services
Your website platform, hosting, registrar and plugins are run by other companies under their own terms. We are not responsible for their outages or changes.
14. Backups and liability
- We take a backup before making changes, where the platform allows it, and we recommend you keep your own.
- To the extent the law allows, our total liability for any job is limited to the amount you paid for that job. This limit does not apply to loss caused by our fraud, gross negligence or wilful misconduct.
15. Privacy and email
Our Privacy Policy explains how we handle your information. We only send marketing emails with your consent, as required by CASL.
16. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there.
17. Changes
We may update these terms. The version referenced in your accepted quote applies to your job.
